Important: By accessing or using Shoperator's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These Terms of Service ("Terms") govern your access to and use of Shoperator's AI-powered creative automation platform ("Service"), including any content, functionality, and services offered through our website and applications.

1Acceptance of Terms

By creating an account, accessing our platform, or using any part of our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your acceptance of these Terms will be treated as acceptance by that organization.

2Service Description

Shoperator provides an AI-powered creative automation platform designed specifically for Shopify store owners and e-commerce businesses. Our Service includes, but is not limited to:

  • AI-generated product images and lifestyle photography
  • Automated banner and ad creative generation
  • Brand book creation and management tools
  • SEO optimization and content generation
  • Marketing calendar and campaign automation
  • Social media content creation tools
  • Integration with Shopify stores and third-party platforms

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, though we will make reasonable efforts to notify users of significant changes.

3Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must register for an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account credentials
  • Accept responsibility for all activities that occur under your account
  • Immediately notify us of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 18 years old or the age of legal majority in your jurisdiction to use the Service. By creating an account, you represent and warrant that you meet these age requirements.

3.3 Account Responsibility

You are solely responsible for all content posted and activity that occurs under your account. We recommend using a strong, unique password and enabling two-factor authentication when available. You may not share your account credentials or allow others to access your account.

4Subscription Plans and Billing

4.1 Subscription Tiers

Shoperator offers various subscription plans with different features and usage limits. Current pricing and plan details are available on our website. We reserve the right to modify our pricing and plans with reasonable notice to existing subscribers.

4.2 Free Trial

New users may be eligible for a free trial period. During the trial, you'll have access to specified features and usage limits. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends. You may only use one free trial per person or organization.

4.3 Billing and Payments

  • Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan
  • All fees are non-refundable except as required by law or as expressly stated in these Terms
  • You authorize us to charge your payment method on file for all fees owed
  • You're responsible for providing accurate payment information and updating it as needed
  • If payment fails, we may suspend or terminate your access to the Service
  • All prices are in USD unless otherwise specified

4.4 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period.

4.5 Refund Policy

We offer a 14-day money-back guarantee for first-time subscribers. If you're not satisfied with the Service within the first 14 days of your initial paid subscription, contact us for a full refund. This guarantee does not apply to renewals or additional charges after the first billing period.

5Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You specifically agree NOT to:

  • Use the Service in any way that violates applicable laws or regulations
  • Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Create content that infringes on intellectual property rights of others
  • Generate misleading, false, or deceptive content or advertisements
  • Use the Service to create spam, malware, or other malicious content
  • Generate content depicting minors in inappropriate contexts
  • Create deepfakes or manipulated content intended to deceive
  • Attempt to reverse engineer, decompile, or hack the Service
  • Use automated systems to access the Service beyond reasonable use
  • Resell, redistribute, or commercially exploit the Service without authorization
  • Interfere with or disrupt the Service or servers/networks connected to it
  • Use the Service to violate the privacy or rights of others
  • Share your account or allow unauthorized access to the Service

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

6Intellectual Property Rights

6.1 Service Ownership

The Service, including its original content, features, functionality, software, designs, graphics, interfaces, and underlying technology, is owned by Shoperator and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include any right to:

  • Modify, copy, or create derivative works of the Service
  • Reverse engineer or attempt to extract source code
  • Rent, lease, loan, sell, sublicense, or transfer the Service
  • Remove or alter any copyright, trademark, or proprietary notices

6.3 Trademarks

"Shoperator" and our logo are trademarks of Shoperator. You may not use these marks without our prior written permission. Other trademarks appearing on the Service are the property of their respective owners.

7User Content and Data

7.1 Your Content

You retain all ownership rights to any content, data, or materials you upload, submit, or provide to the Service ("User Content"). This includes product information, images, brand assets, and other materials you input into our platform.

7.2 License to Shoperator

By uploading User Content, you grant Shoperator a worldwide, non-exclusive, royalty-free license to use, reproduce, process, adapt, and display your User Content solely for the purpose of:

  • Providing and improving the Service to you
  • Training and improving our AI models (only with aggregated, anonymized data)
  • Generating AI-powered creative outputs as requested by you
  • Complying with legal obligations

7.3 Content Responsibility

You are solely responsible for your User Content and represent and warrant that:

  • You own or have the necessary rights to use and license the User Content
  • Your User Content does not infringe any third-party rights
  • Your User Content complies with these Terms and applicable laws
  • You have obtained all necessary permissions for any individuals depicted in your content

7.4 Content Removal

We reserve the right to remove or refuse to process any User Content that violates these Terms, infringes rights, or is otherwise inappropriate. We are not responsible for monitoring User Content but may do so at our discretion.

8AI-Generated Content

8.1 Ownership of AI Outputs

Subject to your compliance with these Terms and payment of applicable fees, you own the commercial rights to the AI-generated content created through the Service ("AI Outputs") for your specific use case. However, we retain the right to the underlying AI models, algorithms, and technology.

8.2 AI Output Quality

While we strive to provide high-quality AI-generated content, we do not guarantee that AI Outputs will meet your specific requirements or be error-free. AI-generated content should be reviewed before use, and you are responsible for ensuring it meets your needs and complies with applicable laws and regulations.

8.3 Similar Outputs

Due to the nature of AI technology, similar or identical outputs may be generated for different users given similar inputs. We do not guarantee uniqueness of AI Outputs and are not liable for any similarity between outputs generated for different users.

8.4 Compliance Responsibility

You are solely responsible for reviewing AI Outputs and ensuring they comply with applicable laws, advertising standards, intellectual property rights, and platform policies before use. This includes, but is not limited to, trademark compliance, truth in advertising, and content policies of social media platforms.

9Data Protection and Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in our Privacy Policy.

9.1 Data Security

We implement industry-standard security measures to protect your data. However, no method of transmission over the internet or electronic storage is 100% secure. While we strive to protect your information, we cannot guarantee absolute security.

9.2 Shopify Integration

When you connect your Shopify store to Shoperator, you authorize us to access certain store data as necessary to provide the Service. We will only access the minimum data required and will comply with Shopify's API Terms of Service and Partner Program Agreement.

9.3 Data Retention

We retain your data for as long as necessary to provide the Service and comply with legal obligations. Upon account termination, we will delete or anonymize your data in accordance with our data retention policies and applicable law, unless retention is required for legal purposes.

10Termination and Suspension

10.1 Termination by You

You may cancel your subscription and close your account at any time through your account settings or by contacting our support team. Cancellation will be effective at the end of your current billing period, and you will retain access to the Service until that date.

10.2 Termination by Shoperator

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice, effective immediately. Grounds for termination may include, but are not limited to:

  • Violation of these Terms or our Acceptable Use Policy
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Conduct that harms or may harm other users or Shoperator
  • Extended periods of inactivity

10.3 Effects of Termination

Upon termination of your account:

  • Your right to access and use the Service will immediately cease
  • We may delete your User Content and account data after a reasonable period
  • You remain liable for all charges incurred prior to termination
  • Provisions of these Terms that by their nature should survive termination will remain in effect

10.4 Data Export

Before terminating your account, you should export any data or content you wish to retain. We are not obligated to provide access to your data after account termination, though we may retain certain information as required by law.

11Warranties and Disclaimers

Important Notice: Please read this section carefully as it limits our liability.

11.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

  • AI-generated outputs will be accurate, complete, or suitable for your purposes
  • Any errors or defects in the Service will be corrected
  • The Service will achieve any particular business results

The Service may integrate with or depend on third-party services, including Shopify, payment processors, and AI providers. We are not responsible for the availability, functionality, or policies of these third-party services.

11.4 AI Technology Limitations

You acknowledge that AI technology has inherent limitations and may produce unexpected, biased, or incorrect results. We do not guarantee the accuracy, appropriateness, or originality of AI-generated content.

12Limitation of Liability

Critical Notice: This section significantly limits our liability to you. Please read carefully.

12.1 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SHOPERATOR, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

12.2 Maximum Liability Cap

IN NO EVENT SHALL SHOPERATOR'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO SHOPERATOR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12.3 Exclusions

We are not liable for any damages arising from:

  • Your use or inability to use the Service
  • Unauthorized access to or alteration of your data
  • Third-party conduct or content on the Service
  • Loss of business, revenue, or profits
  • Loss or corruption of data or content
  • Use of AI-generated content in your business
  • Errors, mistakes, or inaccuracies in AI outputs

12.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

13Indemnification

You agree to defend, indemnify, and hold harmless Shoperator, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Content
  • Your use of AI-generated content in violation of laws or third-party rights
  • Any fraudulent, negligent, or wrongful acts related to your use of the Service

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

14Governing Law and Dispute Resolution

Additional Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and Shoperator regarding the Service and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Shoperator.

Assignment

You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction. Any attempted transfer or assignment in violation of this section will be null and void.

Force Majeure

Shoperator will not be liable for any failure to perform its obligations where such failure results from causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

Export Control

You agree to comply with all applicable export and import control laws and regulations in your use of the Service. You represent that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country.

Language

These Terms are written in English. Any translated versions are provided for convenience only. In the event of any conflict between the English version and a translated version, the English version shall prevail.

Acknowledgment

By using Shoperator, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. You also acknowledge that these Terms constitute a binding legal agreement between you and Shoperator.

If you do not agree to these Terms, you must immediately cease using the Service and delete your account.
